Who needs to register in Nevada
Any Broker-Dealer with a principal place of business in Nevada, or with clients located in Nevada above the de minimis threshold, must register with the Nevada Secretary of State — Securities Division or — if eligible — with the SEC.
Nevada-specific nuance
Nevada imposes statutory fiduciary duty on all broker-dealers and investment advisers (NRS 628A) and charges $300 for RIA registration.
