Agreement to Terms

By accessing or using the services provided by FIN Compliance ("Company," "we," "us," or "our"), including our website, consulting services, and SaaS platforms (RegReview.io, InvestPrep.io, ADScanner.io), you agree to be bound by these Terms and Conditions.

If you do not agree to all of these terms, you are prohibited from using our services and must discontinue use immediately.

Description of Services

FIN Compliance provides:

• Compliance Consulting: Fractional compliance support, regulatory consulting, audit preparation, and advisory services for financial services firms
• RegReview.io: Compliance calendar and workflow management platform
• InvestPrep.io: Investor onboarding and compliance document management platform
• ADScanner.io: Marketing material compliance review and analysis platform

User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your account information remains accurate and up-to-date

We reserve the right to suspend or terminate accounts that violate these terms or are used for unauthorized purposes.

Acceptable Use

You agree not to use our services to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our services or servers
• Share your account credentials with unauthorized users
• Use automated tools to access our platforms without permission
• Resell or redistribute our services without authorization

Intellectual Property

All content, features, and functionality of our services—including but not limited to text, graphics, logos, software, and documentation—are owned by FIN Compliance or its licensors and are protected by intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our services without our prior written consent.

Payment Terms

For paid services:

• Fees are due as specified in your service agreement or subscription
• All fees are non-refundable unless otherwise specified
• We may change our fees with reasonable notice
• Late payments may result in service suspension
• You are responsible for all applicable taxes

Confidentiality

We understand the sensitive nature of compliance and financial information. We commit to:

• Maintaining strict confidentiality of your business information
• Using your data only to provide our services
• Not disclosing your information to third parties without consent (except as required by law)
• Implementing appropriate security measures to protect your data

Limitation of Liability

To the maximum extent permitted by law:

• Our services are provided "as is" without warranties of any kind
• We do not guarantee uninterrupted or error-free service
• We are not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed the fees paid by you in the preceding 12 months

Indemnification

You agree to indemnify and hold harmless FIN Compliance, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.

Termination

We may terminate or suspend your access to our services at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use our services will immediately cease
• We may delete your account and associated data (subject to legal retention requirements)
• Any provisions that should survive termination will remain in effect

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Contra Costa County, California.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated terms on our website. Your continued use of our services after changes become effective constitutes acceptance of the revised terms.
