For GPs and fund managers
Launch new LP offerings without the compliance surprises.
Co-investments, SPVs, continuation funds, separate accounts and evergreen funds — we plan the structure, conflicts, disclosures and filings before you take it to investors.
What GPs are offering LPs — and what to watch
Each new vehicle brings its own conflicts, disclosures and filings.
Co-investments & SPVs
Allocation fairness across LPs, fee and expense sharing, Form D and Blue Sky filings for each vehicle.
Continuation funds & GP-led secondaries
Conflicts, LPAC consent, fairness opinion, and what to tell selling and rolling LPs.
Separate accounts & funds-of-one
Terms that differ from the main fund, side-letter MFN clauses, and Form ADV disclosure.
Evergreen, interval & feeder funds
Accredited investor vs. qualified purchaser limits, RIA and wealth-platform distribution, placement-agent questions.
Raising through advisers & platforms
Finder and solicitor payments, broker-dealer status, and Marketing Rule exposure in decks and track records.
LP portals, data rooms & reporting
DDQ answer banks, ILPA-aligned reporting templates, and consistent quarterly letters.
Tokenized or digital fund interests
Offering exemptions, transfer restrictions, and custody questions before launch.

FAQ
What is LP product strategy?
Help for fund managers (GPs) designing new offerings for their investors (LPs) — co-investments, SPVs, continuation funds, separate accounts, and evergreen or feeder funds — so structure, conflicts, disclosures, and filings are planned before launch.
Do you draft the fund documents?
No. Fund counsel drafts the LPA, PPM, and side letters. FIN Group plans the strategy, maps conflicts and disclosures, runs the filings, and reviews marketing.
Do you raise capital or act as placement agent?
No. FIN Group is not a broker-dealer and does not solicit investors or take transaction fees.
What does it cost?
The LP Offering Design Sprint starts at $4,500, the Raise-Ready Package at $3,500, and ongoing LP Product Advisor support at $2,500/month. Government filing fees and counsel are billed separately.
Who leads the work?
Cory Roberson, founder of FIN Group, who has supported fund launches, registrations, and compliance programs since 2012 and built the InvestPrep, RegReview, and ADScanner platforms.
