Form 13F filing deadlines for 2026

Form 13F is due 45 days after the end of each calendar quarter. When day 45 falls on a weekend or federal holiday, the deadline moves to the next business day. For 2026 that means Feb 17, May 15, Aug 14 and Nov 16. Managers who cross the $100 million threshold for the first time must start filing for the year-end quarter of the year they crossed it.

    Who this applies to

    • Investment advisers with discretion over $100M+ in 13(f) securities
    • Hedge fund and private fund managers holding U.S.-listed equities
    • Family offices and banks exercising investment discretion
    • Managers who crossed $100M on the last trading day of any month in 2025

    Why it matters

    • • The SEC has brought enforcement actions and fines against managers who never filed or filed late
    • • Late filings are public on EDGAR and visible to allocators and counterparties
    • • Missed quarters usually must all be filed to get current
    • • Confidential treatment requests must be filed with, not after, the report

    How to get current

    1. 1Confirm whether you crossed $100M in 13(f) securities on the last trading day of any month
    2. 2Check the SEC's current Official List of Section 13(f) Securities for the quarter
    3. 3Confirm EDGAR access codes and the filer's CIK are current
    4. 4Pull quarter-end holdings and reconcile with custodian records
    5. 5File 13F-HR (or 13F-NT / combination report) on EDGAR by the deadline
    6. 6Add every 2026 due date to your compliance calendar with internal review dates

Who has to file Form 13F?

Institutional investment managers that exercise investment discretion over $100 million or more in Section 13(f) securities on the last trading day of any month in a calendar year.

File the missed reports as soon as possible and keep a record of the cause and fix. Talk with counsel about any enforcement exposure. We can help assemble and file the catch-up reports.
